AirAsia and AirAsia X have denied any wrongdoing over the bribery allegations involving them and plane manufacturer Airbus.
Reuters reported the committee will comprise non-executive members of the board excluding Kamarudin Meranun and Tony Fernandes, co-founders of its parent company AirAsia Group.
